Ulta Beauty reported its second quarter of fiscal 2026 after the close on Thursday, August 27. On the surface it was a clean beat. Net sales rose 8.9% to 3.04 billion dollars, operating income rose 10.1% to 379.6 million dollars and diluted earnings per share rose 13.3% to 6.55 dollars, according to the company's release. Investing.com put the consensus at 6.17 dollars.

The company also raised its full-year outlook. It now expects net sales growth of 6.7% to 7.2%, up from 6% to 7%, comparable sales growth of 3.2% to 3.7%, up from 2.5% to 3.5%, and diluted earnings per share of 28.70 to 29.00 dollars, against 28.36 to 28.80 previously. It said it expects to use the remaining 1.0 billion dollars of its buyback authorization by the end of the fiscal year, after spending 791.1 million dollars in the first half.

Shares still fell about 3% in after-hours trading, to 524 dollars, as reported by Investing.com. The reason is in the distance between two numbers.

Two growth rates

Comparable sales rose 3.8%, against 6.7% in the same quarter a year earlier. Total net sales rose 8.9%. The company attributes the difference to the acquisition of Space NK and to new stores, and it does not break out either one.

Some arithmetic helps. Net sales grew by 247.2 million dollars, according to the quarterly filing. A 3.8% comparable increase on last year's 2.79 billion dollar base is worth very roughly 106 million dollars. That leaves something like 140 million dollars, about five points of growth, coming from sales Ulta did not have a year ago: Space NK and stores that are not yet in the comparable base. These are Retail to See estimates, not company figures.

The Space NK piece has a date on it. Ulta completed the purchase of the British luxury beauty chain on July 10, 2025, according to its filings, which means last year's second quarter held only about three weeks of Space NK. This year's held all thirteen. That is a one-off tailwind, and it fades as the acquisition laps its anniversary.

The store piece is steadier. Ulta opened 15 stores in the quarter, 14 in the United States and 1 abroad, and closed 1, ending with 1,622: 1,534 Ulta Beauty stores in the US and 88 Space NK stores in the UK and Ireland, according to the release.

What the comparable number says about demand

Inside the 3.8%, the quarterly filing says the increase was "primarily driven by a 3.9% increase in average ticket." On the earnings call, chief executive Kecia Steelman described transactions as roughly flat, as reported by Investing.com. Ulta's American shoppers spent more per visit; they did not visit more.

The category detail is more uneven than the headline. Fragrance delivered high-teen comparable growth and rose to 13% of net sales from 12%, led by Prada, Carolina Herrera and YSL, as reported by BeautyMatter. Prestige makeup grew at a low-single-digit rate on Rare Beauty and the newly launched Charlotte Tilbury, while mass makeup declined slightly as it lapped strong newness a year earlier. Cosmetics slipped to 37% of quarterly sales from 38%, according to the release.

K-beauty posted double-digit growth, with nearly half coming from exclusive brands or products, as reported by Cosmetics Business. Steelman was careful about it: "I think you can get really caught up in this K-beauty hoopla about it being very fast fashion," she said, adding that Chinese beauty matters just as much, and that the retailer onboarded Chinese brand Proya in August.

Management also said it had not seen notable changes in consumer behavior or trade-down across income groups, as reported by Investing.com, while acknowledging a more promotional environment in beauty retail and competition from both traditional players and new entrants. Why the market was cool

The raised full-year range implies a slower second half. Ulta guided to second-half net sales growth of 4% to 5% and comparable sales growth of 2% to 3%, as reported by Investing.com. Once Space NK is fully in last year's numbers, the five-point cushion between total and comparable growth narrows to what new stores can provide.

There was also a small margin cost to the acquisition. Gross margin slipped 10 basis points to 39.1%, which the company attributes "primarily" to the Space NK business mix. Lower incentive compensation and corporate overhead leverage pulled SG&A down to 26.4% of sales, and operating margin edged up to 12.5%.

Read plainly, the quarter says US specialty beauty demand is positive but carried by price and fragrance, while the international story is still mostly an acquisition. Space NK delivered "robust sales growth and continued market share expansion in the UK," according to the company's presentation as reported by Investing.com, but Ulta has not given it a number.

What to watch

The third quarter is the first full one in which Space NK sits in both years. If total growth falls close to comparable growth, the acquisition has stopped flattering the top line and the question becomes whether traffic, flat for now, starts to move. We will also watch whether Ulta ever discloses Space NK's sales, which would be the cleanest test of its international bet.
