Two announcements, two days apart, and the British beauty shelf looks different. On Tuesday, September 29, Marks & Spencer and Sephora announced Sephora at M&S, a shop-in-shop format for 100 M&S stores. On Thursday, October 1, the Financial Times reported that the Weston family was in advanced talks to buy Boots from Sycamore Partners. Neither deal changes what a British shopper can buy this autumn. Both change who will be selling it to her by next year.
Sephora buys reach without buying stores
The format is simple to describe. From spring 2027, Sephora will run branded beauty departments inside 100 M&S stores on high streets and in retail parks, replacing the current M&S beauty areas, with Sephora beauty advisors on the floor, as reported by 365 Retail. M&S.com will carry a wider assortment with home delivery and Click & Collect. M&S keeps selling its own beauty products alongside, as reported by LBC.
The number that matters is the one it sits next to. Sephora operates 18 stores in the UK, as reported by LBC. It came back to the country through e-commerce, buying Feelunique for 132 million pounds in 2021, and opened its first British store at Westfield London on March 8, 2023. Three and a half years of careful standalone openings produced 18 doors. One agreement with M&S produces 100.
Catherine Spindler, Sephora's president for Europe and the Middle East, called it "a retail model that complements our existing formats and allows scalable growth," as reported by 365 Retail. Scalable is the honest word. This is the playbook Sephora ran in the United States when it announced, in December 2020, at least 850 shop-in-shops inside Kohl's, each around 2,500 square feet at the front of the store, as reported by Retail Dive. The UK version is smaller and more selective, which is the right call: M&S is not Kohl's, and 100 stores chosen for their beauty potential is a better test than a blanket rollout.
What M&S is really admitting
John Lyttle, managing director of M&S Fashion, Home and Beauty, said beauty has "the potential to attract new customers to shop with us and give existing customers the opportunity to shop with us more often," as reported by 365 Retail. That is the strongest sentence in the release, and also the most revealing. M&S has sold beauty for years. Handing the floor to a specialist is a recognition that it could not build the brand list, the newness or the advisor culture on its own.
The deal convinces on logic. M&S brings footfall, parking and a customer who already trusts the store for food and basics. Sephora brings the brands that customer currently drives somewhere else to buy. Where it is less convincing is in the detail nobody has published yet: how much of each store's beauty space Sephora gets, how M&S's own products will sit next to a prestige assortment without looking like the cheaper option, and who owns the customer data. Those terms decide whether this is a destination or a concession counter with better lighting.
Boots changes hands, or nearly
The second story is not yet a deal. Wittington Investments, the Canadian investment vehicle of the Weston family, whose holdings include Loblaw and Shoppers Drug Mart, is in talks to buy Boots for close to 9 billion dollars including debt, as reported by Private Equity Wire citing the Financial Times. City AM put it at around 7 billion pounds and said an agreement could come as soon as this week. Negotiations could still fall through, as Global Cosmetics News noted citing the Wall Street Journal.
The talks have a history. They stalled over the summer when the Westons lowered their offer, and Sigma Healthcare, an Australian pharmacy group, withdrew in June, as reported by TheIndustry.beauty and City AM. Sycamore took Walgreens Boots Alliance private in 2025 in a deal Private Equity Wire values at 23.7 billion dollars, and has been selling the pieces since. We followed the American side of that breakup in the drug channel got smaller, beauty got the shelf.
What the buyer gets is a business that is growing, slowly. In the year to August 2025, Boots reported revenue of 7.5 billion pounds, up 3.2%, digital sales up 18.3% and pre-tax profit of 337 million pounds, up about 25%, as reported by TheIndustry.beauty. It runs over 1,800 stores in Britain, carries more than 500 beauty brands, and owns No7, the skincare brand that buyers voted for at NACDS Total Store Expo in Boston this summer.
Why the two stories belong together
For a decade the British beauty question was whether Boots could hold its position against specialists. The answer arriving this autumn is that the specialists are not coming through standalone stores. Ulta came through an acquisition, Space NK, which ended its latest quarter with 88 stores in the UK and Ireland, as we noted in Ulta's second quarter. Sephora is coming through someone else's floor. Both routes skip the slow part, and both land on the high street where Boots has been the default for generations.
A Weston-owned Boots would face that from a position of strength. Shoppers Drug Mart in Canada is the clearest proof that a pharmacy chain can carry a credible beauty business, and the owner of that chain knows it. The risk for Boots is not losing its beauty shopper in a year. It is that, by the time the new owner settles in, the prestige end of the counter has a second address in 100 towns.
What to watch
Three things. Whether the Boots agreement is signed this month at the price reported, and whether the Westons say anything about beauty in the first statement. Which 100 M&S stores get the format, and how many of them sit in towns where Boots is the only beauty specialist. And whether brands that today sell through Boots and Sephora both treat Sephora at M&S as a third account or as a reason to rethink the first one. We will come back to all three when the terms are public.
